Terms and Conditions "CYBER Signage"
Prior to using the digital signage operating system (hereinafter referred to as "CYBER Signage") provided by Sofnetjapan Co.,Ltd. (hereinafter referred to as "Sofnetjapan", all contractors are required to govern the following terms and conditions.
1. (Fundamental rules)
1. You may accept these terms and conditions and submit the application form when you apply for the "CYBER Signage".
2. If Sofnetjapan accept the use of the Client application, by a notice of the receipt of the application form to the contractor, the agreement on the use consent of CYBER Signage shall be concluded. In addition, it is possible to reject the application in judgement of Sofnetjapan. In that case, Sofnetjapan shall have no duty to disclose of rejection reason to the contractor.
3. The contractor shall pay the CYBER Signage license fee that is stated separately to sofnetjapan. In addition, it is assumed that there be implemented price changes without notice due to changes such as future economic conditions.
4. For CYBER Signage Free Edition, the contractor will agree that advertising is displayed on the signage display terminal as consideration for the its use. The contractor should not hide its advertising.
5. In case of Free Edition, one account is given for one organization or one individual. In this case, we regard a unit of legal entity as an organization if you are a company. Also we regard a unit of legal entity independent as an organization if you are an other organizations.
6.If sofnetjapan to conduct the operational guidance on the basis of this Agreement, the contractor shall bear the labor cost, the technical fee and the actual expenses that sofnetjapan was negotiated.
7. Sofnetjapan will be able to view the management and operation status and other information related to the CYBER Signage.
2. (Purpose of use)
1. CYBER Signage shall be used as advertising delivery or used as means of communication in a company, an office, etc. which are the original purposes of degital signage, and shall not be used for the profit purpose (a contents delivery service, signage operation service, etc) etc.
3. (Using the signage control center)
1. Sofnetjapan will issue the ID and the password to use the CYBER Signage for logging into the CYBER Signage control center (hereinafter referred to as "control center") for based on application form of contractors.
2. The issued ID and password shall be managed under the responsibility of the contractor and sofnetjapan shall accept no responsibility for any and all due to the fact that is not managed correctly the ID and password.
3. If the program does not operate according to the specifications without responsibility to the contractor reports to Sofnetjapan immediately. If the contractor cannot operate according to the specifications by any defect and the factor applicable program is due to Sofnetjapan, Sofnetjapan shall deal with as soon as possible so that it works correctly.
4. (The delivery of signage system)
1. Sofnetjapan shall issue the license key for the information terminal (hereinafter referred to as "Player PC") to display contents. To operate, the contractor shall assign to Player PC the license key issued by sofnetjapan and install the software to Player PC.
2. If the contractor to order the digital signage display terminal to Sofnetjapan, the contractor may order with designated form to Sofnetjapan and Sofnetjapan shall deliver ordered item at specified location. After delivery, the contractor shall set and test the terminal immediately. However, if sofnetjapan set and test a digital signage display terminal, the contractor shall pay Sofnetjapan the operation cost separately.
3. If the software for Player PC has any defect, Sofnetjapan shall deal with as soon as possible so that it works correctly. In addition, in case of incidental work that occurs in each Player PC, contractor shall carry out its work.
5. (Use of material bank)
1. The contractor shall be able to download and use materials that are supplied at 'material bank' of the Control Center as part of the content of CYBER Signage.
2. The copyright of materials that are in 'material bank' belong to Sofnetjapan and its supplier or another third party.
3. The contractor shall recognize the range of use consent that are belong to owner accurately. The contractor shall deal with materials without infringement of copyright.
4. If the contractor infringes on the intellectual property right etc of each material, the contractor shall accept liability for them and Sofnetjapan shall accept no liability for them.
6. (Intellectual property right)
1. The contractor shall ensure that the rights such as copyright in CYBER Signage and peripheral systems that were developed by Sofnetjapan shall be retained by Sofnetjapan.
7. (Use of data and management)
1. The contractor shall have the ownership of the content data created in the system of Sofnetjapan and the system of them by the contractor to display for digital signage and the ownership of the material data that make up the content (hereinafter referred to as "content data") . Whatever the reason, if these content data will be lost or corrupted, Sofnetjapan shall not be liable for damages.
2. In the case of that this Agreement is terminated by the cancellation or expiration, Sofnetjapan may not return the content data that created and registered by the contractor in server of Sofnetjapan. And the contractor shall delete them by themselves as appropriate.
8. (System management)
1. Sofnetjapan shall carry out each item.
	(1) By the method specified by Sofnetjapan, Sofnetjapan will carry out the general support for that the contractor can operate the CYBER Signage smoothly. (2) Sofnetjapan will develop the function enhancement in cases where Sofnetjapan deems it necessary and upgrade the software. However, the contractor shall pay development cost that requested by the contract and pay operation cost, transportation expenses, hotel charge, transportation charge of hardware and other actual expenses in the field. (3) Sofnetjapan carry out the operation and the support of the operation trouble of CYBER Signage. However, in case of field work of Sofnetjapan, the contractor shall pay operation cost, transportation expenses, hotel charge, transportation charge of hardware and other actual expenses.
9. (Liquidation method)
1. The bill from Sofnetjapan shall be disclosed on WEB site or other method to the contractor.
2. The contractor shall pay the bill amount that based on the request of Sofnetjapan until end of the next month by an electronic withdrawal than an account of the contractor or by the credit card or by the transfer to an account of Sofnetjapan. The contractor shall be liable for the fee such as the transfer fee etc.
10. (Charge)
1. In the event the contractor defaults in the monetary debts of this Agreement, the contractor shall pay to Sofnetjapan default interest on the overdue amount, at the rate of 14.6% per annum.
11. (Disclaimer)
1. Whatever the cause and the reason, Sofnetjapan shall not be liable for any damages.
12. (Keeping credit)
1. The contractor shall not commit any act that may damage the honor and credibility of "Sofnet", "Sofnetjapan Co.,Ltd.", "CYBER Signage".
13. (Confidentiality)
1. For the duration of the contract, the Contractor must not disclose or must not leak to any person technical confidential information that have learned in the course of duty. This shall also be applied after the termination of this Agreement.
14. (Don't)
1. When using CYBER Signage, the contractor shall not perform acts listed in the following items.
	(1) To change, reverse- engineer, falsify, transplant or copy of the CYBER Signage program. (2) To embody the program for CYBER Signage, to copy the related information and manuals, to transfer the possessions. (3) To operate the signage terminal that exceeds the number of licenses by replicating of the software related to CYBER Signage. (4) To operate the signage terminal that exceeds the number of licenses by adding the external application software to the software related to CYBER Signage system or by physical method or by secondary method such as communication or display replication, transfer etc. (5) To operate the CYBER Signage terminal by adding the software other than the software for CYBER Signage Player PC. (6) To register and deliver the illegal sounds, images or linguistic information etc. (7) To register and deliver the sounds, images or linguistic information etc that are offensive to public order and morals in light of common sense.
15. (Elimination of anti-social forces)
1. The contractor and the executive officer ( the partners who execute the business, directors and executive officers (or the person similar to executive officers) ) does not fall under any of the items of following items in the contract day, and they shall promise that they will not fall under any of the items of following items in the future.
	(1) Gang group (2) Gangsters (3) Semi-regulars of gangster (4) Gang-related companies (5) Corporate racketeer groups, groups engaging in criminal activities under the pretext of conducting social campaigns or crime groups specialized in intellectual crimes etc. (6) The person who listed in the preceding each items
2. The contractor must stipulate Sofnetjapan to not perform the act of the following items by oneself or another person.
	(1) Violent demands (2) Unreasonable demands beyond legal responsibility. (3) To take a threatening behavior or a using violence on the deal. (4) To spread false information, damage the credit or obstruct the business by the use of fraudulent means. (5) The act that listed in the preceding each items.
3. To observe this item, if the dispute arises against anti-social forces by any chance, the contractor shall resolve a dispute on own responsibility.
16. (Assignment etc)
1. Without the prior written consent of Sofnetjapan, the contractor may not assign the rights and obligations under this Agreement to someone, regardless of whether or not compensation is received. In addition, the contractor may not pledge and may not dispose of this Agreement.
17. (Term)
1. The validity of this Agreement shall be three months from the start date to use that negotiated separately. However, if either Sofnetjapan or the contractor notifies written notice no later than one month prior to the expiration date of this agreement, this Agreement shall be automatically renewed for one month and it will also be renewed automatically on expiration date.
2. If the contractor doesn't use CYBER Signage Free Edition more than 1 year, Sofnetjapan may delete accounts of CYBER Signage Free Edition without notice to the contractor.
18. (Termination)
1. In the event of any following events, Sofnetjapan may cancel this Agreement and stop the use of CYBER Signage.
	(1) The contractor does not pay the license fee etc. (2) The contractor does not fulfill the provisions of this Agreement. (3) In the event the contractor receives commences dissolution, a petition for bankruptcy, civil rehabilitation, corporate rehabilitation, etc or the contractor files such petition. (4) The contractor has violated the provision of Article 14. (5) Sofnetjapan finds the fact that contrary to the promise of Article 15. (6) The situation that similar to above items occurs.
2. In case that the contractor will be applicable to any of the items of the preceding paragraph, the contractor shall lost the benefit of term with respect to debt and pay to Sofnetjapan all debt immediately.
3. Regardless of the paragraph 1 of this Article, if Sofnetjapan or the contractor wants to terminate this Agreement, either Sofnetjapan or the contractor shall notify one month in advance. However it may not be cancel this Agreement within three months from start date of the use.
4. If Sofnetjapan or the contractor wants to release some player licenses in the validity of this Agreement, it shall be notify one month in advance.
19. (Stop the service)
1. If it is necessary to maintain or check or improve or change CYBER Signage system or if the failures occur in the system and facilities or if it is necessary for executing the work, we may be able to change the offerings or may be able to use a temporary stop of CYBER Signage.
20. (End of the service)
1. Sofnetjapan may be able to terminate a part or all of the business of CYBER Signage based on this terms of use. And in this case, Sofnetjapan shall inform to the contractor at least 3 months prior to the termination date of service by the method of Sofnetjapan. But if Sofnetjapan is suddenly unable to continue the service due to force majeure that specified in article21 in future Sofnetjapan may terminate the business without prior notice.
21. (Force majeure)
1. Sofnetjapan shall not be liable for any default or delay in performance of any obligation under this Agreement caused by act of god, war, riot, labor trouble or any other event beyond the reasonable control of Sofnetjapan.
22. (Privacy)
1. Personal information that the contractor has been obtained through the application of CYBER Signage or the Control Center shall be handled in accordance Privacy Policy of Sofnetjapan.
23. (Change of terms and conditions)
1. Sofnetjapan shall be able to change this Agreement without the permission of the contractor. When this agreement will be changed , we shall publish the WEB site or notify the contractor in an appropriate manner the contents after the change. In addition, the changes shall become effective upon publication or notification. In the case of using the cyber signage without objection after any change to this agreement is enabled by the contractor, the contractor will assume that you consent to the agreement of changed in that time.
24. (The translated sentence of this agreement)
1. There is a case to be presented and translated into a language other than Japanese this agreement. If a discrepancy occurs in the original and what is described by a language other than Japanese, it shall give priority to the contents described by the Japanese. "
25. (Governing law)
1. This Agreement shall be governed by and construed under the laws of Japan.
26. (Jurisdiction)
1. In the event a dispute arises from this Agreement, the dispute shall be resolved by the Hiroshima District Court as the agreed exclusive jurisdiction.
27. (Discussions)
1. In the event a question arises from this Agreement or any issue regarding matter not specified in this Agreement, it shall be resolved in good faith by discussions between Sofnetjapan and the contractor.
